Terms & Condition

These Terms govern access to and use of CloudColleague, the online marketplace connecting Clients and Professionals for jobs, tasks, projects, and services.

1. Introduction

Welcome to CloudColleague ("CloudColleague", "Platform", "we", "us", or "our"). CloudColleague is an online marketplace that connects individuals and businesses seeking jobs, tasks, projects, or services ("Clients") with individuals or businesses offering those services or applying for those opportunities ("Professionals").

By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

If you use the Platform on behalf of a business or organisation, you confirm that you have authority to bind that entity to these Terms.

2. Definitions

Term Definition
Client A user who posts a job, task, or service listing
Professional A user who applies for or performs work
Listing Any job, task, or service opportunity
Contract Agreement formed directly between Client and Professional
User Content Any content uploaded or shared on the Platform

3. Eligibility & Accounts

You must be at least 18 years old to use the Platform.

You agree to:

  • Provide accurate information
  • Keep your account secure
  • Not create multiple accounts to bypass rules
  • Notify us of unauthorised access

4. Platform Services

CloudColleague supports:

  • Job hiring (employment-style)
  • Freelance work
  • One-off tasks
  • Service-based engagements
CloudColleague does not determine employment classification. Users are responsible for complying with applicable laws.

5. Platform Role (Very Important)

CloudColleague is a technology platform only.
We are not a party to any agreement between users.

We do not:

  • Employ or supervise Professionals
  • Guarantee hiring or work outcomes
  • Verify credentials or licences, unless explicitly stated
  • Act as a recruitment agency or labour hire provider

All relationships are directly between Clients and Professionals.

6. Payments & Fees

6.1 Fees

CloudColleague may charge fees depending on the service. Some features may be free or discounted.

6.2 Payment Processing

Payments are processed through third-party providers, including Stripe and banking systems.

CloudColleague:

  • Does not store full card details
  • Does not control payment provider systems

6.3 Escrow (Active)

For applicable transactions, funds may be held securely in escrow and released when:

  • The Client marks the work complete, or
  • No dispute is raised, or
  • A dispute resolution decision is made

6.4 Strict Off-Platform Payment Ban

Users must not take payments outside CloudColleague or share contact details to bypass fees.

Violation may result in:

  • Immediate account suspension or termination
  • Loss of dispute protection

6.5 Refund Policy

  • Platform fees may be refundable at our discretion
  • Where refunds are issued, Stripe or payment processing fees will be deducted
  • Service-related refunds depend on agreements between users

7. AI, Interviews & Recordings

CloudColleague may provide:

  • Video interviews via Google Meet
  • Interview recordings
  • Transcription
  • Planned AI-based ranking, scoring, and candidate insights

By using these features, you agree that:

  • Audio and video may be recorded
  • Content may be transcribed and analysed
  • Data may be used to generate insights and improve services
Clients must ensure proper consent where required.

8. User Conduct

You must not:

  • Post false or misleading information
  • Discriminate unlawfully
  • Request free or unpaid work without agreement
  • Engage in illegal activities
  • Bypass the Platform
  • Misuse data or systems

Violations may lead to account termination.

9. Disputes

CloudColleague may assist with disputes but acts only as a neutral facilitator.

We are not responsible for:

  • Employment disputes
  • Payment disagreements outside escrow
  • Legal claims between users

10. Reviews

Users may leave reviews.

You must not:

  • Post fake or misleading reviews
  • Manipulate feedback
  • Use reviews as leverage

We may remove violating reviews.

12. Termination

We may suspend or terminate accounts for:

  • Rule violations
  • Payment circumvention
  • Harmful conduct

Users may close accounts anytime.

13. Consumer Law (Australia)

Nothing in these Terms excludes rights under Australian Consumer Law.

Where permitted, liability is limited to:

  • Re-supply of services, or
  • Cost of re-supply

14. Disclaimer

The Platform is provided “as is”.

We do not guarantee:

  • Job success
  • Hiring outcomes
  • Service quality

15. Limitation of Liability

To the maximum extent permitted by law, CloudColleague is not liable for:

  • User actions
  • Service outcomes
  • Indirect or financial losses
Maximum liability:
The greater of:
  • Fees paid in the last 12 months, or
  • AUD $100

16. Indemnity

You agree to indemnify CloudColleague against claims arising from:

  • Your use of the Platform
  • Your disputes
  • Your legal violations

17. Governing Law

These Terms are governed by the laws of Australia, with NSW jurisdiction.

18. Changes

We may update these Terms at any time.

Continued use of the Platform constitutes acceptance of the updated Terms.
